Conditions governing your use of robosparkco.pro and general terms for RoboSpark engineering services.
1. Agreement to terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you" or "your") and RoboSpark Inc. ("RoboSpark", "we", "us" or "our"), a corporation registered in Ontario, Canada (BN 642931758 RC0001), with offices at 213 Sterling Road, Suite 105, Toronto, Ontario M6R 2B2.
By accessing or using https://robosparkco.pro (the "Website"), submitting an inquiry through our contact form, or engaging our robotics engineering services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Website or our services.
2. Website use licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for personal or internal business purposes related to evaluating or procuring robotics engineering services. You may not:
- Copy, reproduce, distribute or publicly display Website content except as permitted by applicable law;
- Reverse engineer, decompile or attempt to extract source code from the Website;
- Use automated systems including scrapers, bots or crawlers to access the Website without prior written consent;
- Introduce malware, perform denial-of-service attacks or otherwise interfere with Website operation;
- Misrepresent your affiliation with RoboSpark or use our trademarks without authorization;
- Use the Website for any unlawful purpose or in violation of export control regulations.
All content on the Website — including text, images, logos, design elements and code — is owned by RoboSpark or its licensors and protected by Canadian and international intellectual property laws.
3. Engineering services
Descriptions of services on the Website are for general information and do not constitute binding offers. Formal engineering engagements require a signed Statement of Work ("SOW") or Master Services Agreement ("MSA") that specifies scope, deliverables, fees, timelines, acceptance criteria and intellectual property terms.
In the event of conflict between these Terms and a signed SOW or MSA, the signed agreement prevails for that specific engagement. These Terms continue to govern your use of the Website regardless of any separate service contract.
RoboSpark maintains a permanent exclusion for weapons-related, military combat and autonomous lethal systems work. We reserve the right to decline or terminate any engagement that violates this policy or applicable law.
4. Inquiries and communications
Information you submit through the contact form or email is handled according to our Privacy Policy. Submitting an inquiry does not create a client relationship or obligate RoboSpark to accept a project. We reserve the right to decline engagements at our sole discretion based on capacity, technical fit or policy constraints.
You represent that information you provide is accurate and that you have authority to submit it on behalf of your organization where applicable.
5. Intellectual property
Website content remains the property of RoboSpark. For paid engineering engagements, intellectual property allocation is defined in the applicable SOW. Unless otherwise specified, client-specific deliverables including custom source code, CAD files and trained model weights transfer to the client upon final payment, while RoboSpark retains pre-existing tools, libraries and general methodologies.
You may not use RoboSpark trademarks, logos or project imagery in marketing materials without prior written approval, except for factual references permitted under applicable law.
6. Confidentiality
Both parties may exchange confidential information during evaluation and project execution. Confidential information must be marked or reasonably understood as confidential and protected with at least the same care each party uses for its own sensitive data. Obligations survive termination for five years unless the information becomes public through no fault of the receiving party.
7. Disclaimers
THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. RoboSpark does not warrant that the Website will be uninterrupted, error-free or free of harmful components.
Technical specifications, case studies and performance metrics on the Website describe past or representative projects. Actual results for your engagement depend on scope, environment and acceptance criteria defined in your SOW. Nothing on the Website constitutes engineering advice for your specific application.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY ONTARIO LAW, ROBOSPARK AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE WEBSITE, INCLUDING LOSS OF PROFITS, DATA OR BUSINESS OPPORTUNITY.
Our aggregate liability for claims arising from Website use shall not exceed one hundred Canadian dollars (CAD $100). Liability for engineering services is governed by the applicable SOW or MSA, which may specify different caps and exclusions.
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability; in such cases, our liability is limited to the fullest extent permitted by law.
9. Indemnification
You agree to indemnify and hold harmless RoboSpark from claims, damages, losses and expenses (including reasonable legal fees) arising from your misuse of the Website, violation of these Terms, infringement of third-party rights, or unlawful use of deliverables contrary to agreed scope or applicable export regulations.
10. Third-party services and links
The Website may reference or link to third-party services such as Google Fonts. We are not responsible for third-party content, availability or privacy practices. Your use of third-party services is subject to their respective terms.
11. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario for disputes arising from Website use not covered by a separate arbitration clause in an MSA.
Before initiating formal proceedings, parties agree to attempt good-faith resolution by contacting [email protected] with a written description of the dispute.
12. Modifications
We may revise these Terms at any time by posting an updated version with a revised effective date. Material changes will be noted on the Website. Continued use after the effective date constitutes acceptance. For active engineering contracts, changes apply only to Website use unless both parties agree otherwise in writing.
13. Severability and waiver
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Failure to enforce any right or provision does not constitute a waiver of that right.
15. Entire agreement
These Terms, together with the Privacy Policy and Cookie Policy incorporated by reference, constitute the entire agreement between you and RoboSpark regarding Website use. They supersede prior oral or written communications on that subject. No amendment to these Terms is effective unless posted on the Website with an updated effective date or signed by an authorised RoboSpark officer for a specific written agreement.
